Job Description

Fragomen is seeking a highly motivated and experienced Legal Counsel to join our dynamic and globally integrated Office of General Counsel (OGC). Reporting to the Associate General Counsel for Latin America (LATAM), this position will provide legal counsel and support to Fragomen’s LATAM offices and collaborate with OGC colleagues in the United States, EMEA and APAC. The focus of this position is corporate transactional matters, including client and vendor contracts, but also includes evaluating compliance initiatives, coordinating an array of projects and business reviews, and developing policies and procedures related to Fragomen’s legal practice, including those related to technology, digital services and vendor ecosystems.

About The Team

The Office of General Counsel (OGC) supports the firm’s core business with a wide range of transactional, regulatory and advisory legal work. The team addresses areas such as commercial contracts, compliance, employment, corporate governance, sanctions and litigation. Team members collaborate globally with other OGC colleagues, local advisors and other corporate functions supporting Fragomen offices. This position will work closely with colleagues in the U.S.

Key Responsibilities
  • Assist in the negotiation, drafting, and review of a high volume of client and vendor commercial agreements, including technology contracts such as SaaS agreements, data processing addenda, software licensing, and IT services contracts
  • Work with business teams and IT stakeholders to assess and negotiate technology vendor agreements and platform partnerships, supporting initiatives involving technology implementation and digital transformation
  • General corporate transactional matters: Drafting, reviewing and negotiating client and vendor contracts and commercial leases; overseeing the firm’s IP portfolio; responding to client compliance requests
  • Third party due diligence: The Firm undertakes a very thorough due diligence of its vendors (especially local counsel) through a program overseen by the Office of General Counsel
  • Third party vendors: Responding to inquiries from vendors and Fragomen client teams regarding third party contractual/compliance obligations
  • Sanctions compliance: Understanding of sanctions obligations, preparing sanctions training and assisting OGC counsel in determining whether the firm is permitted to perform certain work under relevant sanctions programs
  • Corporate secretarial: Attending to key governance functions
  • Ad hoc projects, including working on future new office openings
Qualifications
  • Licenciatura degree and active bar license required
  • 5 years of experience in a law firm or in-house legal department working with a global or international practice in commercial contracts, technology or related legal work. Strong preference for candidates with experience advising IT companies or clients, including demonstrated familiarity with technology agreements, software as a service (SaaS), IT contracts, cloud services and other digital or technology-driven offerings
  • Fluency in English required; additional languages preferred (Portuguese a plus)
  • Experience in international legal environments preferred
  • Strong analytical, communication and organizational skills
  • Knowledge of GDPR, data retention policies and international data privacy laws preferred, particularly as applied to technology platforms and cross-border data transfers
  • Familiarity with laws and regulations relevant to client and vendor onboarding, including but not limited to Anti-money laundering and Know your client regulations and processes
  • Excellent time management skills and ability to work in a fast-paced environment
  • Attention to detail and commitment to producing high quality work products
  • Excellent interpersonal, relationship management and communication skills. Understanding of cultural differences and ways of working
  • Work with a strong sense of professional pride, possess a strong work ethic, be proactive, enthusiastic and flexible and have exemplary personal and professional integrity and business ethics, as well as a commitment to diversity and a respect for others
  • Superior writing and oral communication skills, with a demonstrated ability to adapt style and format while maintaining substance to the audience
