About This Position

Our department advises all of the governance bodies of IDB Invest, a multilateral development bank organized as an international organization owned by 48 member countries. As part of our functions, we provide a full range of legal support to IDB Invest’s mission of promoting the economic development of our Latin American and Caribbean developing member countries by investing in private sector companies. The Institutional and Corporate Legal Affairs (ICL) Division provides legal advice on all institutional, corporate, and financial matters for IDB Invest. Our broad portfolio includes advice on the rights and obligations of member countries; the relationship with other international organizations, including the relationship with the IDB and IDB Lab, which are part of the IDB Group; financial management and capital markets transactions to fund our operations; resource mobilization; administration of human resources; data privacy, intellectual property, information technology and general corporate matters; compliance, litigation, and many other matters of strategic importance to IDB Invest.

What you’ll do

As a Legal Officer, your main functions and responsibilities shall include the following:

  • Provide legal advice, and be part of project teams, in connection with troubled debt situations, bankruptcy, restructurings, workouts, enforcement and litigation relating to loans, guaranty, equity and quasi-equity transactions.
  • Provide advice on portfolio administration matters, including amendments and waivers of financing documentation, as well as restructurings, bankruptcy, workouts, and litigation relating to impaired assets.
  • Manage a diverse litigation portfolio, including in national judicial and administrative systems in IDB Invest member countries, and arbitration. Supervise the representation of the IDB Invest’s interests in such forums. Negotiate resolution of disputes.
  • Support with the legal and internal policy aspects related to investigations carried out by the IDB Group Independent Consultation and Investigation Mechanism.
  • Coordinate cross-functionally with Investment Officers, as well as Credit Risk, Environmental, Social and Governance, and Portfolio Management groups to ensure effective and efficient post-deal execution.
  • Assist with the development and regular updating of model documentation and maintenance of the Legal Department intranet, taking into account lessons learned.
  • Identify lessons learned from troubled debt situations, workouts, bankruptcy, and litigations and promote knowledge-sharing to improve the structuring of transactions.
  • Keep abreast of trends in legal issues and precedents across IDB Invest member countries and make recommendations for standardized approaches and updated strategies accordingly. Apply best practices and effectively share knowledge with other attorneys and with relevant stakeholders across the IDB Invest.
  • Participate in the selection of external counsel and coordinate the work of counsel in a cost-effective manner.
  • Participate in presentations to internal committees and the IDB Invest Board of Executive Directors.
  • Support Legal Department staff in the above activities and in the drafting and review of draft documents related thereto.
  • Provide support to the knowledge management function of the Legal Department in the implementation of its action plan.
  • Provide support in connection with general institutional and corporate legal matters.
What you'll need
  • Academic Degree/Level: Master’s degree in law or related fields. Juris Doctor, LL.B. or equivalent is desirable. Bankruptcy academic learning is relevant. Admission to practice law in at least one IDBG member country, and knowledge of both civil and common law systems and LL.M. degree. LL.M. with bankruptcy or insolvency in US legal system is a plus.
  • Experience: At least 4 years of relevant professional legal experience in private sector law firms in the U.S. and in Latin America and the Caribbean is essential. Demonstrated professional experience in cross-border commercial transactions, bankruptcy, insolvency, workouts, and litigation.
  • Language Skills: Proficient in English and have a working knowledge of the IDB Group’s additional official languages (e.g., Spanish, Portuguese, or French.)
